1. Acceptance of Terms

Welcome to Goldborn. These Terms and Conditions ("Terms") govern your access to and use of the Goldborn website, applications, smart contracts, and all related services (collectively, the "Platform"). By accessing the Platform, connecting a cryptocurrency wallet, or interacting with the Goldborn smart contracts in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform. Your continued use of the Platform following any changes to these Terms constitutes your acceptance of such changes.

2. Definitions

• "AVAX"The native cryptocurrency of the Avalanche blockchain network.
• "Battle"A peer-to-peer contest between two Dragon NFTs, resolved through player-selected moves, NFT statistics, and verifiable randomness provided by Chainlink VRF.
• "Bite"A Battle type in which the losing Dragon forfeits a percentage of its stats and proportional vault balance to the winning Dragon.
• "Collect"A Battle type in which the losing Dragon is transferred to the winner as an NFT.
• "Dragon NFT"An ERC-721 non-fungible token on the Avalanche C-Chain representing a dragon with unique statistics (Talons, Scales, Wit), rarity, brood, and an associated AVAX vault balance.
• "Dragon Vault"A smart contract that holds the AVAX balance associated with each individual Dragon NFT. Vault balances are returned to the owner upon burning.
• "Eat"A Battle type in which the losing Dragon is permanently consumed (merged) into the winning Dragon, combining vault balances and converting stats to unallocated points.
• "Interface"The web-based user interface provided by Goldborn that allows users to interact with the Protocol.
• "Protocol"The set of autonomous smart contracts deployed on the Avalanche C-Chain that facilitate the Goldborn game mechanics, including Dragon minting, battling, merging, and vault management.
• "Smart Contracts"Self-executing programs deployed on the Avalanche blockchain that enforce the rules of the Goldborn Protocol without requiring intermediary action.
• "Wallet"A blockchain wallet (external or embedded via Privy) used to interact with the Platform and sign transactions. Your Wallet serves as your sole identity on the Platform.

3. Eligibility

By using the Platform, you represent and warrant that:

• You are at least 18 years of age, or the minimum legal age for gambling in your jurisdiction, whichever is higher;
• You have the legal capacity and authority to enter into a binding agreement;
• You are not a resident, citizen, or located in any Restricted Jurisdiction (as defined in Section 9);
• You are legally permitted to use cryptocurrency and participate in online gaming activities under the laws of your jurisdiction;
• You are not a Politically Exposed Person (PEP) or on any sanctions list maintained by OFAC, the United Nations, or the European Union;
• You will not use the Platform on behalf of any third party or for any illegal purpose.

4. Platform Description

Goldborn provides a web-based Interface that allows users to interact with autonomous Smart Contracts (the "Protocol") deployed on the Avalanche C-Chain. The Protocol facilitates peer-to-peer interactions between users through Dragon NFTs backed by AVAX.

Goldborn is a skill-influenced game in which players collect, hatch, and battle Dragon NFTs. Battle outcomes are determined by a combination of player strategy (move selection), Dragon statistics, and verifiable randomness provided by Chainlink VRF. Goldborn does not participate as a counterparty in any Battle, wager, or transaction. All gameplay interactions occur between users on a peer-to-peer basis through the Protocol.

The Platform operates on a non-custodial basis. Goldborn does not take custody of, hold, or control user funds at any time. All AVAX associated with Dragon NFTs is held within the Dragon Vault smart contract and is accessible only through on-chain interactions initiated by the NFT owner.

5. Wallet & Account

Access to the Platform requires connecting a compatible cryptocurrency wallet. The Platform supports external wallets (such as MetaMask) and embedded wallets provided through Privy. Your wallet address serves as your sole identity on the Platform. No email address, password, or personal information is required.

Upon first connection, a profile is automatically created with a randomly assigned username and default avatar. You are solely responsible for:

• Maintaining the security of your wallet, private keys, and seed phrases;
• All activity that occurs through your connected wallet;
• Any losses resulting from unauthorised access to your wallet;
• Ensuring your wallet is compatible with the Avalanche C-Chain network.

Goldborn has no ability to recover lost, stolen, or compromised wallets or private keys. If you lose access to your wallet, you lose access to any associated Dragon NFTs and AVAX balances. Goldborn bears no responsibility for such losses.

6. Game Mechanics & Rules

Dragon NFTs

Dragon NFTs are ERC-721 tokens on the Avalanche C-Chain. Each Dragon has three core statistics (Talons, Scales, and Wit), a rarity tier (Common, Uncommon, Rare, Epic, Legendary, or Mythic), a brood classification, and an evolution stage. Dragons are created by purchasing and hatching eggs from the Egg Shop. During hatching, statistics are randomly assigned using Chainlink VRF, and there is a chance the Dragon may be upgraded to a higher rarity tier.

Each Dragon NFT has an associated AVAX balance held in the Dragon Vault smart contract. This balance is determined by the initial funding amount at hatching and may increase or decrease through gameplay. The conversion rate is fixed at 10,000 stat points per 1 AVAX.

Battles

Battles are peer-to-peer contests between two Dragon NFTs. Players submit cryptographically signed move sequences (Talons, Scales, or Wit) that cannot be altered after submission. Each round, moves interact in a rock-paper-scissors style:

• Talons beats Scales (halves opponent's Scales)
• Scales beats Wit (halves opponent's Wit)
• Wit beats Talons (halves opponent's Talons)

After all rounds, remaining power is calculated and a Chainlink VRF random number determines the winner, weighted by each Dragon's remaining power. The Dragon with more remaining power has a higher probability of winning, but the element of chance is always present.

Three Battle types are available: Bite (winner steals a percentage of loser's stats and vault balance), Collect (winner takes ownership of loser's Dragon NFT), and Eat (loser's Dragon is permanently consumed into the winner). Players may also include optional AVAX wagers on Battles.

Merging

Players may merge two Dragons they own, combining vault balances (minus a 2.5% fee) and converting the sacrificed Dragon's stats into unallocated points on the surviving Dragon. The sacrificed Dragon is permanently burned.

Burning

Players may burn (retire) a Dragon NFT at any time (provided it is not locked in an active Battle). Upon burning, the Dragon's entire AVAX vault balance is returned directly to the owner's wallet. This action is irreversible.

7. Deposits, Withdrawals & Fees

Deposits

When hatching a Dragon, you deposit AVAX into the Dragon Vault smart contract. The deposit amount determines the Dragon's starting power level. Deposits are made directly on-chain and are irreversible once confirmed on the Avalanche blockchain.

Withdrawals

You may withdraw the full AVAX vault balance of any Dragon NFT you own by burning it. The vault balance is sent directly from the smart contract to your wallet with no platform intermediary and no withdrawal fee. Goldborn cannot prevent, delay, or intercept withdrawals executed through the smart contract.

Platform Fees

The following fees apply:

• Egg Purchase Fee:A fixed AVAX amount per egg type, paid at the time of purchase. Prices vary by rarity tier.
• Battle Creation Fee:A nominal AVAX fee paid when creating a Battle challenge.
• Battle Outcome Fee:2.5% of the total Battle pot, deducted from the winner's prize.
• Dragon Merging Fee:2.5% of the merged vault balance, deducted at the time of merging.
• NFT Royalty:2.5% royalty reported via ERC-2981 for secondary market sales on compatible marketplaces.

All fees are collected in AVAX and transferred directly to the designated fee receiver address via the smart contract. Fee amounts are subject to change. Changes to fee structures will be communicated through the Platform. You are also responsible for all blockchain gas fees associated with your transactions.

8. Non-Custodial Nature of the Platform

Goldborn operates as a software provider, maintaining the Interface through which users interact with the Protocol. Goldborn does not:

• Take custody of, hold, or control user funds or digital assets at any time;
• Act as a counterparty to any Battle, wager, or transaction;
• Have the ability to unilaterally move, seize, or redirect user funds held in the Dragon Vault smart contract;
• Control or influence the outcome of any Battle (outcomes are determined by player moves and Chainlink VRF);
• Operate as a casino, bookmaker, or gambling operator.

The Protocol is a set of autonomous smart contracts deployed on the Avalanche C-Chain. The Interface merely provides a convenient way for users to interact with the Protocol. Smart contract fees (2.5%) are programmatically collected by the Protocol and forwarded to the designated fee receiver address.

A backend authority address is used solely to coordinate battle mechanics (accepting battles on behalf of users and resolving outcomes after Chainlink VRF provides randomness). The authority address has no ability to move, seize, or redirect user funds.

9. Restricted Jurisdictions

The Platform is not available to residents, citizens, or persons located in the following Restricted Jurisdictions. By accessing the Platform, you represent and warrant that you are not located in, a citizen of, or a resident of any of the following:

OFAC-Sanctioned Countries and Regions:

North Korea, Iran, Cuba, Syria, the Crimea, Donetsk, and Luhansk regions of Ukraine, and any other country or region subject to comprehensive sanctions by the United States Office of Foreign Assets Control (OFAC).

Countries with Strict Gambling or Cryptocurrency Regulations:

United States of America (including all states and territories), United Kingdom, France, Netherlands, Australia, Singapore, China (including Hong Kong and Macau), South Korea, Japan, Turkey, Italy, Spain, Germany, Belgium, Portugal, Israel, United Arab Emirates, Saudi Arabia, Russia, India, and any other jurisdiction where online gambling, cryptocurrency use, or participation in blockchain-based gaming is prohibited or restricted by law.

Goldborn reserves the right to implement IP-based geo-blocking and other technical measures to restrict access from Restricted Jurisdictions. The use of virtual private networks (VPNs), proxy servers, or any other tools to circumvent geographic restrictions is strictly prohibited and constitutes a material breach of these Terms. If you are found to be accessing the Platform from a Restricted Jurisdiction, your access may be terminated immediately, and any funds held in the Protocol may be subject to forfeiture to the extent permitted by applicable law.

This list of Restricted Jurisdictions may be updated at any time without prior notice. It is your sole responsibility to ensure that your use of the Platform complies with the laws of your jurisdiction.

10. Know Your Customer & Anti-Money Laundering

Goldborn does not currently require identity verification (KYC) to use the Platform. However, Goldborn reserves the right to:

• Implement KYC and identity verification procedures at any time, without prior notice;
• Request identity documentation from any user at any time and for any reason;
• Suspend or terminate access for users who fail to provide requested documentation;
• Monitor wallet activity for suspicious patterns consistent with money laundering, fraud, or other illegal activity;
• Block, freeze, or restrict access to wallets flagged for suspicious activity;
• Report suspicious activity to relevant law enforcement or regulatory authorities.

By using the Platform, you represent and warrant that your funds are not derived from any illegal activity and that you will not use the Platform for money laundering, terrorist financing, or any other illegal purpose.

11. Intellectual Property

All intellectual property rights in the Platform, including but not limited to the Goldborn brand, logos, website design, smart contract code, game mechanics, Dragon NFT artwork, illustrations, animations, and associated metadata ("Platform IP"), are owned exclusively by Goldborn.

By purchasing or acquiring a Dragon NFT, you receive a limited, personal, non-commercial, non-exclusive license to display the associated Dragon artwork solely for the following purposes:

• Your own personal, non-commercial use;
• Display on a third-party NFT marketplace that cryptographically verifies your ownership;
• Use within the Goldborn Platform.

This license is granted for the duration of your ownership of the Dragon NFT. Upon transfer, sale, burn, or loss of the NFT, this license immediately terminates. You may not:

• Use Dragon artwork for any commercial purpose without prior written consent;
• Modify, create derivative works from, or distort Dragon artwork;
• Use Dragon artwork in any way that implies endorsement by or affiliation with Goldborn;
• Register any trademark, copyright, or other intellectual property right in Dragon artwork.

12. User Conduct

You agree not to engage in any of the following prohibited activities:

• Exploiting bugs, vulnerabilities, or unintended behaviour in the Smart Contracts or Interface;
• Using bots, scripts, automated tools, or any software to interact with the Platform without authorisation;
• Manipulating or attempting to manipulate Battle outcomes, market prices, or platform mechanics;
• Colluding with other users to gain an unfair advantage in Battles or other gameplay;
• Using VPNs, proxies, or other tools to circumvent geographic restrictions or access the Platform from a Restricted Jurisdiction;
• Engaging in harassment, abuse, hate speech, or threatening behaviour through the Platform's chat or communication features;
• Impersonating other users, Goldborn staff, or any third party;
• Distributing spam, malware, or malicious content through the Platform;
• Attempting to interfere with or disrupt the Platform's infrastructure or security;
• Using the Platform for money laundering, terrorist financing, or any other illegal activity.

Goldborn reserves the right to investigate any suspected violations and to take any action it deems appropriate, including suspending or terminating access to the Interface and reporting violations to law enforcement.

13. Risk Disclosures

By using the Platform, you acknowledge and accept the following risks. This list is not exhaustive, and additional risks may exist:

Smart Contract Risks

The Protocol utilises smart contracts deployed on the Avalanche C-Chain. Smart contracts are experimental technology. While our smart contracts have undergone internal review, no review or audit can guarantee the absence of all vulnerabilities. Smart contracts may contain bugs, errors, or vulnerabilities that could result in the partial or total loss of your funds or digital assets. The Protocol's smart contracts are upgradeable, meaning their logic may be modified. While upgrades are intended to improve the Protocol, they may introduce unforeseen issues.

Blockchain & Transaction Risks

Transactions on the Avalanche blockchain are irreversible. Once a transaction is confirmed, it cannot be undone, reversed, or refunded by any party, including Goldborn. Network congestion, gas price fluctuations, or blockchain outages may affect your ability to interact with the Platform or smart contracts. Blockchain forks, reorganisations, or protocol-level changes to Avalanche may affect the operation of the Protocol.

Cryptocurrency Volatility

The value of AVAX and other cryptocurrencies is highly volatile and may fluctuate significantly. The fiat-currency value of your Dragon NFTs and vault balances may decrease substantially. Losses from gameplay may be compounded by cryptocurrency price declines. Goldborn makes no representations about the future value of AVAX or any Dragon NFT.

Oracle & Randomness Risks

Battle outcomes and egg hatching rely on Chainlink VRF for verifiable randomness. While Chainlink VRF is designed to be tamper-proof, oracle failures, delays, or disruptions may affect game outcomes. In such cases, Goldborn will endeavour to resolve issues fairly but cannot guarantee specific outcomes.

Gambling Risks

Battles involve the risk of losing some or all of your Dragon NFT's value, stats, or the NFT itself. You may lose AVAX through gameplay. Only participate with funds you can afford to lose. Regulatory Risks

The regulatory landscape for blockchain technology, cryptocurrencies, NFTs, and online gaming is evolving and uncertain. Changes in laws, regulations, or enforcement actions in any jurisdiction may adversely affect the Platform, the Protocol, or your ability to use the Platform. Goldborn may be required to modify, restrict, suspend, or discontinue the Platform or specific features in response to regulatory developments.

No Recovery

Goldborn does not have the ability to recover lost, stolen, or misdirected tokens, NFTs, or funds. You are solely responsible for the security of your wallet and private keys.

14. Third-Party Services

The Platform integrates with and relies upon the following third-party services and protocols. Goldborn is not responsible for the performance, security, availability, or practices of any third-party service:

• Avalanche (C-Chain):The blockchain network on which the Protocol is deployed. Goldborn does not control the Avalanche network.
• Chainlink VRF:Verifiable Random Function oracle used for egg hatching randomness and Battle resolution. Goldborn does not control Chainlink's infrastructure.
• Privy:Wallet connection and authentication provider. Privy may collect its own data subject to its own privacy policy.
• Content Delivery & Infrastructure:The Platform uses third-party cloud infrastructure and content delivery services for hosting and serving media assets.

Your use of any third-party service is subject to that service's own terms and conditions and privacy policies. Goldborn disclaims all liability for any loss, damage, or disruption caused by third-party services.

15. Dispute Resolution

Informal Resolution

Before initiating any formal dispute proceedings, you agree to first contact Goldborn at contact@goldborn.com and attempt to resolve the dispute informally for a period of at least thirty (30) days. Most concerns can be resolved quickly through informal communication.

Binding Arbitration

If a dispute cannot be resolved informally, you and Goldborn agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration, rather than in court. The arbitration shall be conducted on an individual basis. You and Goldborn both waive the right to a jury trial and the right to participate in a class action, collective action, or representative proceeding.

Exceptions

Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

On-Chain Finality

You acknowledge that transactions executed on the blockchain are final and irreversible. Goldborn has no ability to reverse, cancel, or modify any on-chain transaction. Disputes regarding the outcome of Battles or other on-chain interactions are governed by the smart contract logic and Chainlink VRF randomness, which are deterministic and verifiable.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
• GOLDBORN DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
• IN NO EVENT SHALL GOLDBORN, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.
• GOLDBORN'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
• GOLDBORN IS NOT LIABLE FOR ANY LOSSES RESULTING FROM: SMART CONTRACT BUGS OR VULNERABILITIES; BLOCKCHAIN NETWORK FAILURES OR CONGESTION; ORACLE OR CHAINLINK VRF FAILURES; LOSS OF PRIVATE KEYS OR WALLET ACCESS; CRYPTOCURRENCY PRICE FLUCTUATIONS; REGULATORY ACTIONS; THIRD-PARTY SERVICE FAILURES; OR UNAUTHORISED ACCESS TO YOUR WALLET.

17. Indemnification

You agree to indemnify, defend, and hold harmless Goldborn, its directors, officers, employees, affiliates, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party; or (e) any dispute between you and another user of the Platform.

18. Modification of Terms

Goldborn reserves the right to modify these Terms at any time. For material changes, Goldborn will provide at least thirty (30) days' notice through the Platform before the changes take effect. The "Effective Date" at the top of these Terms will be updated accordingly. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to any modification, you must stop using the Platform and withdraw your funds by burning your Dragon NFTs.

19. Termination

Goldborn may suspend or terminate your access to the Interface at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, suspected illegal activity, or access from a Restricted Jurisdiction.

Upon termination of your access to the Interface, you retain the ability to interact directly with the Protocol's smart contracts using your wallet, including the ability to burn Dragon NFTs and withdraw associated vault balances. Goldborn cannot prevent on-chain interactions with the Protocol.

Sections 11 (Intellectual Property), 13 (Risk Disclosures), 15 (Dispute Resolution), 16 (Limitation of Liability), 17 (Indemnification), and this Section 19 shall survive any termination of these Terms.

20. Responsible Gambling

Goldborn is committed to promoting responsible play. Battles involve risk, and you may lose some or all of your deposited funds. Only play with funds you can afford to lose. 21. General Provisions

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with the Privacy Policy and Responsible Gambling page, constitute the entire agreement between you and Goldborn regarding your use of the Platform and supersede all prior agreements and understandings.

Waiver

The failure of Goldborn to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without Goldborn's prior written consent. Goldborn may assign its rights and obligations without restriction.

Force Majeure

Goldborn shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to blockchain network failures, oracle outages, natural disasters, wars, terrorism, pandemics, government actions, or regulatory changes.
